INFRASTRUCTURE & PROJECT FINANCE

The Firm provides assistance in setting up and developing infrastructure projects. We represent developers, contractors, equity investors, and multilateral agencies in airport, power, roads, ports, fertilizer, telecommunication sectors, water and waste. We review documents from a bankability perspective and provide risk analysis for the project. We provide assistance in structuring contractual arrangements based on tax implications and other regulatory considerations.

The Firm has advised on setting up projects on BOO, BOT, BOOT or DBFOT basis and on other finance driven structures to minimize tax and duty implications. We advise developers on regular basis on project documents, including concession agreements, state support agreements, EPC contracts, project development agreements, equipment supply contracts, joint development agreements, consortium agreements, collaboration agreements, alliance agreements and operations and maintenance agreements.

The Firm assists clients on varied aspects of aviation business and setting up of airlines including acquisition of aircraft, financing documentation for aircraft acquisition, leasing of spaces at the airports by airlines, acquisition of landing rights/slots, spaces within airports, securing permissions/approvals from Civil Aviation authorities for setting up of infrastructure within airports for airline operations, finalization of contracts with aviation turbine fuel suppliers, employees arrangements including employee contracts and related approvals from Government agencies regarding training and security requirements.

We have experience in advising both domestic and foreign clients in the oil and gas sector on all legal aspects of their business. We advise clients on tendering issues, legal and regulatory framework in India and project documentation. We have the experience of advising clients on setting up of oil terminals production sharing agreements, joint operating agreements, fuel supply agreements, gas purchase agreements and storage and distribution agreements.
